Once upon a time, the limited partnership was far and away the most common type of partnership entity used for real estate and business transactions in the United States. Then along came the limited liability company, and the limited partnership was eclipsed by this shiny new business entity offering limited liability to all partners and greater functionality and ease of management.

But the limited partnership is still around, and in fact has its uses where its special statutory characteristics and limitations are far more beneficial than those of a limited liability company. This new program examines when and where a practitioner should consider using a limited partnership instead of a limited liability company (or other entity taxable as a partnership), and the special drafting considerations for the limited partnership compared to its more popular cousin, the LLC.
